Recitals
Client desires to engage Clear Path To Close (CPTC) to provide professional real estate transaction coordination and related post-closing services. CPTC agrees to perform such services under the terms set forth below.
1. Services
Client hereby engages CPTC to perform coordination, document management, and post-closing support (“Services”) relating to Client’s real estate transaction(s), including but not limited to contract-to-close management, communication between involved parties, timeline and compliance tracking, and post-closing servicing coordination. Services are provided based on CPTC’s published pricing schedule and scope as described at the time of engagement.
2. Best Efforts
CPTC agrees to exercise reasonable professional efforts to complete the coordination process efficiently and accurately. CPTC cannot and does not guarantee the success of a transaction, funding, or closing outcome, and shall not be held liable for external factors outside its control.
3. Fees & Payment
The Client agrees to pay CPTC the applicable fees for selected services in accordance with CPTC’s Service & Pricing Schedule. All payments are due prior to commencement of services unless otherwise agreed in writing. Transactions requiring “Priority,” “Post-Closing,” or “Due-On-Sale” services must be paid 100% upfront.
4. Term
This Agreement becomes effective on the Effective Date and shall remain in effect until completion of services, unless terminated earlier by either party with written notice.
5. Non-Circumvention
Client agrees not to circumvent CPTC by engaging or directing work to any subcontractor, coordinator, or servicing vendor introduced by CPTC during or within six (6) months following the term of this Agreement. If circumvention occurs, CPTC shall be entitled to the full fee associated with the introduced service provider.
6. Independent Contractor Relationship
CPTC operates as an independent contractor. This Agreement does not create a joint venture, partnership, or employment relationship between CPTC and Client.
7. Governing Law
This Agreement shall be governed by and construed under the laws of the State of _________________________, without regard to conflicts of law. Each party submits to the jurisdiction of courts located in _________________________ County, _________________________ (State) for any dispute arising from this Agreement.
8. Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior discussions or agreements. Any amendment or modification must be in writing and signed by both parties.
9. Legal & Compliance
Client acknowledges CPTC does not provide legal advice or brokerage services. All documentation and coordination services are administrative in nature. Clients are advised to consult licensed legal or real estate professionals as needed.
10. Acknowledgment
By signing below, Client acknowledges receipt and understanding of this Agreement and agrees to its terms.
